Job Description

Key Responsibilities:

  • Transaction Management: Supported end-to-end processes for corporate transactions
  • Contract Drafting & Negotiation: Draft, review, and negotiate a variety of commercial agreements
  • Due Diligence & Risk Identification: Assist the Company Secretary with comprehensive legal due diligence for multiple corporate transactions, analyzing material contracts, corporate records, and litigation portfolios to identify and advise on legal risks.
  • Statutory Compliance & Governance: Evaluate and maintain corporate governance and statutory compliance by reviewing corporate filings, minute books, and corporate actions for adherence to the Companies Act, 2013 and Secretarial Standards.
  • Securities & Regulatory Advisory: Serve as the First Point of Contact (POC) for internal legal counsel regarding IPO preparedness and compliance matters. Provide accurate advice and conduct research on compliance requirements under SEBI Regulations and other relevant corporate and financial laws, ensuring adherence to the regulatory framework.
  • Litigation Analysis: Conduct risk analysis of pending litigations initiated by or against the target entities, focusing on the nature of proceedings and potential financial liability to quantify legal exposure.
  • Commercial Advisory: Provide proactive, solution-focused legal advice, translating complex legal issues into practical business recommendations for stakeholders.
Job Requirement
  • Prior experience as an Associate or similar role at a recognized Tier 1 Indian law firm.
  • 1 to 3 years of post-qualification experience in General Corporate or M&A practice.
  • Bachelor of Laws (LL.B.) or an integrated Law degree (B.B.A. LL.B.) from a top-tier institution.
  • Demonstrated practical knowledge in Corporate Law, Legal due diligence, Contract drafting, Compliance analysis, and Corporate Advisory.
